Terms of Service

1. Acceptance of terms

These Terms form a binding agreement between you and InteliAug. If you do not agree, do not use the Service. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

2. The Service

InteliAug provides a multi-tenant platform that ingests your content — websites, documents, knowledge bases, and connected sources — and uses retrieval-augmented generation and large language models to answer questions on your behalf. We may add, modify, or discontinue features over time.

3. Accounts & eligibility

• You must provide accurate registration information and keep it current.
• You are responsible for safeguarding your credentials and for all activity under your account.
• You must be at least 16 years old and able to form a binding contract.
• Notify us promptly at info@inteliaug.com of any unauthorised use.

4. Subscriptions & billing

• Paid plans are billed in advance on a recurring basis through our payment provider (PayPal) at the price and interval shown at checkout.
• Subscriptions renew automatically until cancelled. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period.
• Except where required by law or expressly stated, fees are non-refundable and partial periods are not pro-rated.
• We may change pricing on a prospective basis with reasonable notice. Usage may be subject to plan limits and rate limits.

5. Acceptable use

You agree not to, and not to permit others to:

• Use the Service unlawfully or in violation of any third-party rights or applicable platform terms.
• Ingest or process content you do not have the right to use, including content scraped in violation of another party's terms.
• Upload malware, attempt to breach security, probe, or disrupt the Service or its infrastructure.
• Reverse engineer, resell, or circumvent usage limits except as permitted by law.
• Use the Service to generate unlawful, harmful, deceptive, or abusive content.

6. Your content

You retain all ownership of the content you submit or connect ("Customer Content"). You grant InteliAug a worldwide, non-exclusive licence to host, store, process, and transmit Customer Content solely to operate and provide the Service to you. You represent and warrant that you have the necessary rights to the Customer Content and that its processing by the Service does not violate any law or third-party right.

7. Connected accounts

When you connect a third-party source such as Instagram, you authorise InteliAug to access and ingest data from that source on your behalf. You are responsible for ensuring you have the right to connect the account and for complying with the third party's terms (including Meta's Platform Terms and policies). You may disconnect a source at any time. We access only the data needed to provide the feature and handle it as described in our Privacy Policy.

8. AI-generated output

The Service uses large language models to generate responses. Output may be inaccurate, incomplete, or unsuitable for a particular purpose and does not constitute professional advice. You are responsible for reviewing and verifying output before relying on or acting upon it. InteliAug makes no warranty as to the accuracy of AI-generated content.

9. Intellectual property

The Service, including its software, design, and trademarks, is owned by InteliAug and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted. Feedback you provide may be used by us without restriction.

10. Availability & disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of liability

To the maximum extent permitted by law, InteliAug will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnification

You agree to indemnify and hold harmless InteliAug from any claims, damages, liabilities, and expenses arising from your Customer Content, your connected accounts, or your breach of these Terms or applicable law.

13. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing law

These Terms are governed by the laws of Ireland, without regard to conflict-of-laws principles. The courts of Ireland will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any non-waivable rights you have as a consumer.

15. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
